Terms and Conditions

These Terms and Conditions ("Terms") govern your use of PandyCopy websites, forms, digital materials, and services. By using this website or purchasing or accepting PandyCopy services, you agree to these Terms and to any separate proposal, statement of work, invoice, or written agreement that applies to your engagement.

1. About PandyCopy

PandyCopy LLC, doing business as PandyCopy ("PandyCopy," "we," "us," or "our"), provides marketing consulting, copywriting, website messaging, lead-flow strategy, content strategy, AI-supported marketing workflows, and related business services.

2. Website use

You may use this website for lawful informational and business purposes. You may not attempt to disrupt the site, gain unauthorized access to systems or accounts, scrape or copy protected material in a manner that violates applicable law, introduce malicious code, impersonate another person, or use the site to facilitate fraud or unlawful activity.

3. Services, proposals, and scope

Specific services, deliverables, timing, fees, revision limits, responsibilities, and acceptance criteria may be described in a proposal, statement of work, invoice, email confirmation, or other written agreement. If a project-specific agreement conflicts with these Terms, the project-specific agreement controls for that project.

Requests outside an agreed scope may require a change order, revised estimate, additional fee, or separate engagement.

4. Fees and payment

Fees and payment terms are stated in the applicable proposal, invoice, or written agreement. Unless otherwise stated, invoices are due according to the due date shown on the invoice. PandyCopy may pause work, withhold final deliverables, or delay new work when amounts are overdue, to the extent permitted by law and the applicable agreement.

Third-party costs such as advertising spend, software subscriptions, media purchases, hosting, printing, creator fees, or platform charges are not included unless expressly stated in writing.

5. Client responsibilities

Clients are responsible for providing accurate information, timely feedback, approvals, access, credentials through secure channels, and any materials reasonably needed to perform the agreed work. Clients are responsible for confirming that they have rights to materials they provide to PandyCopy.

6. Intellectual property

Each party retains ownership of intellectual property it owned or developed independently before the engagement. PandyCopy retains its pre-existing and independently developed frameworks, templates, prompts, processes, methods, tools, know-how, reusable components, and general skills ("Background IP").

Ownership or licensing of final project deliverables will be governed by the applicable proposal, statement of work, or other written agreement. Unless that agreement states otherwise, no transfer of PandyCopy Background IP is implied. A client may receive the rights reasonably necessary to use an approved final deliverable for its intended business purpose after applicable fees are paid.

7. AI-assisted services

PandyCopy may use artificial intelligence and other software tools to support research, ideation, drafting, analysis, workflow design, or production. Human review and business judgment remain part of PandyCopy's process where appropriate. Clients remain responsible for final approvals and for professional, legal, regulatory, medical, financial, or other specialized review when such review is required for their industry or use case.

8. Confidential information

When confidential information is exchanged, the parties will use reasonable care to protect it and will comply with any separate nondisclosure or confidentiality agreement. Do not send passwords, API keys, private tokens, or other sensitive credentials through public website forms or ordinary email when a safer access-sharing method is available.

9. Third-party platforms

PandyCopy services may depend on third-party platforms such as website hosts, advertising networks, analytics tools, email providers, social networks, AI providers, scheduling systems, or payment providers. PandyCopy does not control those platforms and is not responsible for their outages, policy changes, account suspensions, algorithm changes, pricing changes, or other acts outside PandyCopy's reasonable control.

10. Results and no guarantee

Marketing, advertising, search visibility, sales, lead generation, AI workflows, and business outcomes depend on many factors outside PandyCopy's control. Examples, forecasts, case studies, targets, recommendations, or prior results are not guarantees of future performance. PandyCopy does not guarantee rankings, traffic, leads, revenue, conversion rates, platform approval, or any particular commercial outcome.

11. Testimonials and portfolio use

PandyCopy will not knowingly publish a client's confidential information. Any right to use a client's name, logo, testimonial, results, screenshots, or project materials for portfolio or promotional purposes may be governed by the applicable project agreement or separate written permission.

12. Disclaimer of warranties

To the fullest extent permitted by law, the website and general informational materials are provided on an "as is" and "as available" basis. PandyCopy disclaims warranties not expressly stated in a signed written agreement.

13. Limitation of liability

To the fullest extent permitted by law, PandyCopy will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost opportunities, lost data, or business interruption arising from use of the website or services. Where liability cannot be excluded, PandyCopy's aggregate liability for a claim relating to paid services will not exceed the fees actually paid to PandyCopy for the specific services giving rise to the claim during the six months preceding the event giving rise to the claim, unless a signed agreement requires otherwise or applicable law prohibits that limitation.

14. Indemnification

To the extent permitted by law, you agree to be responsible for claims arising from materials, instructions, representations, products, services, or unlawful conduct you provide or direct PandyCopy to use, including claims that such materials infringe third-party rights, except to the extent caused by PandyCopy's own unlawful conduct or breach of an applicable written agreement.

15. Termination

Either party may end an engagement as allowed by the applicable proposal, statement of work, or written agreement. Ending an engagement does not eliminate payment obligations already incurred or provisions that by their nature should survive, including confidentiality, intellectual-property, payment, limitation-of-liability, and dispute provisions.

16. Privacy and messaging

Your use of the website is also subject to our Privacy Policy. If you opt in to text messaging, the Mobile Messaging Terms also apply.

17. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Unless a separate signed agreement provides otherwise, disputes relating to these Terms or PandyCopy services will be brought in a court of competent jurisdiction in Dallas County, Texas, subject to any rights or procedures that cannot lawfully be waived.

18. Changes

We may update these Terms as our services, operations, or legal requirements change. The effective date above identifies the current version. Material changes apply prospectively unless applicable law permits otherwise.
